Welcome to the Rdn License platform (“Platform”), operated by Ferrum Consulting, LLC (“Ferrum Consulting,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of our Platform, websites, software products, and related services (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, do not use our Services.

These Terms should be read in conjunction with our Privacy Policy and Software License Agreement, which are incorporated herein by reference.

1. Eligibility

You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you meet this age requirement. Our Services are intended for use by businesses, and accounts are granted to corporations, partnerships, limited liability companies, and other legal entities. Individual consumer accounts are not supported.

2. Account Registration

2.1 Account Creation

To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your password and any License Keys issued to your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss arising from unauthorized access to your account.

2.3 Account Sharing

Your account is personal to you or your organization. You may not share, transfer, or sell your account credentials or License Keys to any third party without our prior written consent.

3. Services and Subscriptions

3.1 Description of Services

The Platform provides license key management for software products developed by Ferrum Consulting. Services include license key issuance, activation, validation, subscription management, and customer support as determined by your Subscription Tier.

3.2 Subscription Plans

Access to the Services is provided on a subscription basis. The features, usage limits, and pricing for each Subscription Tier are published on the Platform and may be updated from time to time. Your use of the Services is subject to the limits of your selected Subscription Tier.

3.3 Service Availability

We strive to maintain high availability of our Services but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance, during which the Services may be temporarily unavailable. We will make reasonable efforts to provide advance notice of planned downtime.

3.4 Modifications to Services

We reserve the right to modify, update, or discontinue any part of the Services at any time. For material changes that affect your use, we will provide reasonable advance notice. Continued use of the Services after such changes constitutes acceptance.

4. Billing and Payment

4.1 Fees

You agree to pay all fees associated with your Subscription Tier as published on the Platform. All fees are stated in U.S. dollars unless otherwise noted.

4.2 Billing Cycle

Subscriptions are billed in advance on a recurring basis (monthly or annually, as selected). Your subscription will automatically renew at the end of each billing period unless you cancel prior to the renewal date.

4.3 Price Changes

We may change our pricing with at least thirty (30) days’ prior notice. Price changes take effect at the start of the next billing period following the notice. Continued use after a price change constitutes acceptance.

4.4 Taxes

All fees are exclusive of applicable taxes. You are responsible for all taxes associated with your subscription, excluding taxes based on our net income.

4.5 Refunds

Fees are non-refundable except as required by applicable law or as otherwise stated in these Terms. We may offer pro-rated credits at our sole discretion for documented service disruptions or billing errors.

5. Acceptable Use

You agree not to use the Services to:

Violate any applicable law, regulation, or third-party rights.
Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithms of any part of the Services.
Circumvent, disable, or interfere with any security, license enforcement, or authentication features of the Services.
Share, distribute, or disclose License Keys to unauthorized parties.
Use the Services to develop a competing product or service.
Introduce viruses, malware, or any harmful code into the Services.
Scrape, crawl, or use automated tools to access the Services except through our published APIs.
Interfere with or disrupt the integrity or performance of the Services or the data contained therein.
Exceed the usage limits of your Subscription Tier, including Authorized User counts and tenant limits.
Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.

We reserve the right to investigate and take appropriate action against anyone who violates this section, including suspending or terminating the offender’s account.

6. Intellectual Property

6.1 Our Intellectual Property

The Services, including all software, content, designs, trademarks, logos, and documentation, are the exclusive property of Ferrum Consulting and are protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property except for the limited license to use the Services as expressly permitted.

6.2 Trademarks

“Rdn License,” “Rdn Identity,” “Rdn Labs,” and all related names, logos, and marks are trademarks of Ferrum Consulting, LLC. You may not use our trademarks without our prior written consent.

6.3 Feedback

If you provide feedback, suggestions, or ideas regarding the Services, you grant us a royalty-free, worldwide, irrevocable, perpetual license to use, modify, and incorporate that feedback without any obligation to you.

7. Data and Privacy

7.1 Your Data

You retain ownership of any data you submit to the Services. By using the Services, you grant us a limited license to process your data solely as necessary to provide and improve the Services.

7.2 Privacy

Our collection, use, and protection of personal information is governed by our Privacy Policy. By using the Services, you consent to the practices described therein.

7.3 Data Portability

Upon request, we will make your account data available to you in a commonly used, machine-readable format, subject to our data retention policies.

8. Term and Termination

8.1 Term

These Terms are effective when you first access or use the Services and remain in effect until terminated.

8.2 Termination by You

You may cancel your subscription and close your account at any time through the Platform. Cancellation takes effect at the end of the current billing period.

8.3 Termination by Us

We may suspend or terminate your account and access to the Services immediately, without prior notice, if:

You breach any provision of these Terms and fail to cure within fifteen (15) days of notice.
You fail to pay fees within thirty (30) days of the due date.
You engage in fraudulent or illegal activity.
We reasonably believe your use poses a security risk to the Services or other users.

8.4 Effect of Termination

Upon termination, your right to use the Services ceases immediately. All License Keys associated with your account will be deactivated. You remain responsible for any fees incurred prior to termination. Sections 6, 7, 9, 10, 11, and 13 survive termination.

9. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components. We make no warranties regarding the accuracy, reliability, or completeness of any content or data available through the Services.

You acknowledge that you use the Services at your own risk. No advice or information obtained from us, whether oral or written, shall create any warranty not expressly stated in these Terms.

10. Limitation of Liability

To the maximum extent permitted by law, Ferrum Consulting, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Services.

Our total aggregate liability under these Terms shall not exceed the total fees paid by you to us during the twelve (12) months immediately preceding the event giving rise to the claim.

These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless Ferrum Consulting and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

Your use of the Services.
Your violation of these Terms.
Your violation of any applicable law or regulation.
Any claim by a third party arising from your use of the Services.

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws provisions.

12.2 Arbitration

Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Pennsylvania. The arbitrator’s decision shall be final and binding.

12.3 Waiver of Class Actions

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action against Ferrum Consulting.

12.4 Jurisdiction

For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Pennsylvania.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and Software License Agreement, constitute the entire agreement between you and Ferrum Consulting regarding the Services and supersede all prior agreements and understandings.

13.2 Amendments

We may update these Terms from time to time. Material changes will be communicated at least thirty (30) days in advance through the Platform or via email. Continued use after the effective date of changes constitutes acceptance. If you disagree, you must stop using the Services and cancel your subscription.

13.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in full force.

13.4 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

13.5 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms freely in connection with a merger, acquisition, or sale of assets.

13.6 Force Majeure

Neither party shall be liable for failure to perform obligations due to causes beyond reasonable control, including natural disasters, war, terrorism, pandemics, power outages, or internet disruptions.
